1. Who we are
PartsBridge is a Canadian industrial-parts brokerage operating as a registered sole proprietorship in New Brunswick, Canada. In these Terms, "PartsBridge," "we," "us," and "our" refer to this business. Our registered address is 236 St. George Street, Moncton, New Brunswick, E1C 1W1, Canada. Our GST/HST business number is 72389 1438 RT0001. "You" means the business, organization, or individual using the Service on your own behalf or on behalf of a company.
2. Acceptance of these terms
By submitting a quote request, placing an order, or otherwise using partsbridge.ca or any related interface (together, the "Service"), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.
3. Nature of the service (broker)
PartsBridge is a parts-sourcing broker, not a manufacturer, authorized distributor, or warranty provider. We source industrial and MRO parts from third-party suppliers on your behalf. Unless we expressly state otherwise in writing, we do not stock inventory, we are not an authorized agent of any original equipment manufacturer ("OEM"), and we are not a party to any express OEM warranty.
When you accept a quote and place an order, we may arrange for parts to be drop-shipped to you directly from a supplier. Any rights and remedies with respect to the parts themselves (including warranty, recall, and product-liability remedies) rest with the OEM or supplier, not with PartsBridge.
4. Quotes and pricing
4.1 Validity
Unless otherwise stated on the face of the quote, PartsBridge quotes are valid for seven (7) calendar days from the date of issuance. After that period, pricing, lead times, and availability may change without notice.
4.2 Supplier availability and foreign exchange
All prices are subject to supplier availability at the time you accept the quote. Many parts are priced in U.S. dollars by the underlying supplier; the CAD price on your quote is calculated using the exchange rate at the time of quote generation. If the supplier increases its price, discontinues the part, or if the CAD/USD rate moves materially between the quote and the order, we may: (a) proceed at the original quoted price at our discretion; (b) contact you to confirm an updated price before ordering; or (c) cancel the quote and refund any amount already paid.
4.3 Errors
We take reasonable care when preparing quotes, but pricing, part-number, and description errors may occur. If a quote contains an obvious error (for example, a decimal-place mistake or a part number that clearly does not correspond to the described part), we may correct or cancel the quote before accepting your order, and we will refund any amount paid.
4.4 Currency
All amounts on quotes and invoices are in Canadian dollars (CAD) unless we state otherwise in writing.
5. Orders and payment
5.1 How an order forms
A quote is an invitation to treat, not an offer. An order is formed only when you accept the quote through our Service or in writing and we confirm the order (which may occur automatically upon successful payment).
5.2 Payment
Payments are processed by Stripe Payments Canada, Ltd. By submitting payment, you authorize Stripe to charge the payment method you provide. Unless we have separately granted you Net 30 (or other) terms in writing, payment is due in full, in advance of shipment.
5.3 Late payment
Invoices extended on Net terms that remain unpaid after the due date may bear interest at 1.5% per month (19.56% per year) on the outstanding balance, from the due date until paid. You are responsible for all costs of collection, including reasonable legal fees.
6. Taxes
Prices on quotes and invoices are shown exclusive of, and inclusive of where indicated, applicable Canadian federal and provincial sales taxes (GST, HST, QST, PST). Taxes are calculated based on the shipping address you provide and remitted in accordance with our obligations under the Excise Tax Act and applicable provincial legislation. You are responsible for any customs duty, broker fees, or import tax payable if the parts are shipped outside of Canada.
7. Shipping and delivery
7.1 Delivery estimates
Any delivery date, lead time, or "express" option shown on the Service is an estimate only and is not guaranteed. Delivery depends on supplier lead times, carrier performance, customs clearance (where applicable), weather, and other factors beyond our control.
7.2 Risk of loss
Unless otherwise agreed in writing, shipping is FCA (Free Carrier) origin: risk of loss or damage passes to you at the moment the parts are handed to the carrier. You are responsible for inspecting the parts upon delivery and reporting any visible damage to the carrier and to PartsBridge within 5 business days.
7.3 Address accuracy
You are responsible for providing a complete, accurate shipping address. Reshipping charges arising from an inaccurate address will be billed to you.
8. Fitment and compatibility disclaimer
IMPORTANT. You are solely responsible for verifying that the part numbers, specifications, and compatibility information on your quote match the parts you actually need. PartsBridge is not liable for incorrect fitment, mis-specification, installation errors, production downtime, or consequential damages of any kind resulting from the use of parts sourced through the Service.
PartsBridge may rely on part numbers, descriptions, and specifications that you provide and on information published by suppliers and OEMs. We do not warrant that a part sourced through the Service will fit, function, or be compatible with your equipment, process, or application. Before submitting an order, you should: (a) independently confirm the part number, revision, and specifications; (b) confirm compatibility with your equipment's OEM or a qualified technician; and (c) inspect the parts on arrival before installation.
9. Returns, refunds, and cancellations
Our returns process is set out at partsbridge.ca/returns.html. In general:
- Returns must be initiated within 30 days of delivery.
- Parts must be unused, in original packaging, and eligible for return by the underlying supplier.
- Special-order, custom, cut-to-length, and hazardous items may be non-returnable.
- Restocking fees charged by our suppliers are passed through to you; we will disclose the fee before accepting the return.
- Refunds, where granted, are issued to the original payment method within 10 business days of receiving and inspecting the returned parts.
Once a supplier has released parts to the carrier, the order cannot be cancelled. Before release, you may request cancellation by emailing [email protected].
10. Warranties and disclaimers
Parts sourced through PartsBridge carry the warranty (if any) offered by the OEM or supplier. Any such warranty claim must be made through PartsBridge, and we will coordinate with the supplier on your behalf.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE AND ALL PARTS SOURCED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTSBRIDGE DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Some provincial consumer-protection laws do not permit the exclusion of certain implied warranties; in that case, such warranties apply only to the minimum extent required by law.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARTSBRIDGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF PRODUCTION, LOSS OF USE, LOSS OF DATA, PRODUCTION DOWNTIME, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR ANY PARTS SOURCED THROUGH IT, EVEN IF PARTSBRIDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PARTSBRIDGE'S AGGREGATE LIABILITY TO YOU UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) ARISING OUT OF OR RELATED TO THE SERVICE OR A PARTICULAR ORDER WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO PARTSBRIDGE FOR THE ORDER TO WHICH THE CLAIM RELATES.
These limitations apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and even if the limited remedy fails of its essential purpose.
12. Indemnification
You agree to defend, indemnify, and hold harmless PartsBridge from and against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Service or any parts sourced through it; (c) any inaccurate information you provide, including part numbers or specifications; or (d) your violation of any applicable law or the rights of any third party.
13. Accounts and acceptable use
You may use the Service without creating an account to request quotes. If you do create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree not to: (a) submit false, misleading, or fraudulent information; (b) use the Service to infringe the rights of others; (c) attempt to interfere with the operation of the Service or gain unauthorized access to any portion of it; or (d) use automated means to scrape, crawl, or extract content from the Service beyond normal quote requests.
14. Intellectual property
The Service, including its layout, text, graphics, and software, is owned by PartsBridge or its licensors and is protected by Canadian and international copyright and other laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service to request quotes and place orders. All product names, logos, and brands referenced on the Service are the property of their respective owners; their use does not imply endorsement.
15. Force majeure
PartsBridge will not be liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, labour disputes, government action, supplier failure, carrier failure, power outage, internet outage, pandemic, or epidemic.
16. Governing law and disputes
These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable in that province, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of New Brunswick for any dispute arising out of or relating to these Terms or the Service, except that PartsBridge may seek injunctive relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
17. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will post a revised version on this page and update the "Last updated" date at the top. Material changes take effect 14 days after posting, or on the date you next use the Service, whichever is later. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
